  1. All names, brands, trademarks and logos of iQniter, including the names, brands, trademarks and logos on the Website and in iQniter’s marketing material, are the property of iQniter and are protected by copyright and/or registered trademarks and can only be used with permission from iQniter.

2 Terms and conditions for sale

  1. These terms and conditions (hereinafter the “Sales Terms”) apply to all deliveries of products, goods, licenses etc. from iQniter to customers, including deliveries of orders received by phone or e-mail and in the Online Shop.
  2. In addition to these Sales Terms, iQniter’s license terms applicable from time to time and available on the Website (hereinafter the “License Terms”) apply to all deliveries of software and licenses to use the software from iQniter to customers.
  3. By placing an order with iQniter, you agree to the Sales Terms and the License Terms.
  4. If there is any inconsistency between the Sales Terms, the License Terms and any other terms applicable to a sale agreement between iQniter and the customer, the following order of application shall apply: i) License Terms, ii) Sales Terms and iii) other applicable terms.
  5. iQniter may, at its sole discretion, change or amend the Sales Terms and the License Terms. The Sales Terms and the License Terms applicable to your order are the versions applicable at the time you place your order.

3 Placing an order and Conclusion of contract

  1. To place an order, you must meet the following criteria:
    • be at least 18 years of age,
    • create an iQniter account,
    • and provide a delivery address in one of the countries listed on the Website (Please note that iQniter does not ship to certain addresses such as P.O. boxes, overseas military addresses, hotels, hostels or prisons)
  2. iQniter reserves the right to prevent persons from shopping via the Online Shop.
  3. By placing an order with iQniter, you are making an offer to purchase the products in your purchase order.
  4. You may not cancel an order once it has been submitted, however consumers have the statutory right to cancel, cf. paragraph 8. iQniter reserves the right to limit the quantity of products ordered by you.
  5. iQniter reserves the right to accept or reject your order for any reason whatsoever, including, without limitation, an error in your order or an error in the information on the Website, or the unavailability of the relevant product.
  6. After iQniter has received an order for purchase of goods, iQniter will send the customer an order confirmation by e-mail. When the goods are shipped from iQniter, iQniter will invoice the customer.
  7. With some orders, e.g., purchase of software subscription, only the invoice is sent to the customer.

4 Prices, taxes and charges

  1. All prices are stated both exclusive and inclusive of applicable VAT and other taxes.
  2. The applicable prices are the prices stated on the Website on the date of your purchase order.
  3. Shipping costs will be added to the invoice. The amount of shipping costs you will be charged depends on your country and the available shipping method. iQniter endeavours to use an efficient and cost-effective shipping method. For consumers, the shipping cost will appear on the order confirmation.
  4. iQniter reserves the right to amend any prices incorrectly stated on the Website, and reserves the right to, any time, amend any prices, taxes and/or other costs stated on the Website.
  5. Please note that some banks charge a transaction fee and/or an extra overseas transaction fee. This fee is charged by the bank and will not be reimbursed by iQniter. For more information, please contact your bank.

5 Delivery

  1. iQniter is not obliged to deliver goods, which are out of stock.
  2. iQniter will, at its discretion, select a reputable carrier and appropriate means of shipment.
  3. iQniter will provide you with information on the expected delivery date. Any dates quoted by iQniter for delivery of the products are estimates only and iQniter is not liable for any failure to meet those dates.
  4. In case of unsuccessful delivery, the products will be returned to us and we will notify you that we unsuccessfully have tried to deliver the relevant products to you.

    2. If we have not received your reply to our notification, cf. clause 5.4, no later than 7 days after the date of the notification to you, we consider that you have exercised your right to cancel the order in accordance with your statutory right, see paragraph 8.

6 Title and Risk

  1. For consumers:
    1. Title to and risk of loss or damage to the goods passes to you at the time you receive the products. However, if unsuccessful delivery is caused by circumstances attributable to you, the risk of loss or damage to the goods passes to you at the time the delivery was attempted.
    2. If you fail to take delivery of the goods or any part of them when they are made available to you, or if you fail to provide accurate instructions to enable the goods to be delivered, iQniter will be entitled, upon giving written notice to you, to store the goods until delivery is possible. iQniter reserves the right to charge you for any expenses, including handling, storage and insurance, arising out of your failure to take delivery.
    3. Title to any software products remains with iQniter in accordance with the License Terms.
  2. For businesses:
    1. Title and risk of loss or damage to the goods passes to you when the goods are handed over to the first carrier.
    2. If you fail to take delivery of the goods or any part of them when they are made available to you, or if you fail to provide accurate instructions, documents, licenses, consents or authorisations to enable the goods to be delivered, iQniter will be entitled, upon giving written notice to you, to store the goods until delivery is possible. iQniter reserves the right to charge you for any expenses, including handling, storage and insurance, arising out of your failure to take delivery.
    3. Title to any software products remains with iQniter in accordance with the License Terms.

7 Payment

  1. You shall pay for the products by using one of the payment methods shown on the invoice, Website and/or available in the Online Shop.
  2. You are responsible for any costs associated with the payment.
  3. iQniter must receive full payment of the purchase money, and any other charges, including shipping charges, that may apply to your order, before iQniter ships your order.
  4. You consent to receive invoices and credits only in electronic form.

8 Statutory right to cancel (only for consumers in EU)

    1. Consumer’s statutory right to cancel
        1. Title to and risk of loss or damage to the goods passes to you at the time you receive the products. However, if unsuccessful delivery is caused by circumstances attributable to you, the risk of loss or damage to the goods passes to you at the time the delivery was attempted.
        2.         1. In the statement, you must indicate name, physical address, phone number, email address, order number and which goods you wish to return.
        2. You can use the following cancellation form (but you are not obliged to do so):

      1. To meet the cancellation deadline, you must notify iQniter about the exercise of the right to cancel before the cancellation period has expired.
      2. In case your goods have been returned to us without a statement that you exercise your right of withdrawal, we will regard the return of the products as a withdrawal from the contract.
  1. Refunds
    1. If you exercise your right to cancel the order, we will refund all payments received from you, including the delivery costs (excluding additional costs, if you have chosen another shipping method than the less expensive method of standard shipping).
    2. If you exercise your right to cancel a part of the contract, we will refund the corresponding part of the payments received from you, except for the delivery costs.
    3. iQniter will make the refund by using the same means of payment, as you used for the purchase, not later:
      • than 14 days after the day we receive back from you any goods supplied; or
      • (if earlier) 14 days after the day you provide evidence that you have returned the goods, or
      • if there were no goods supplied, 14 days after the day on which we are informed about your decision to cancel this contract.
  2. Return of goods
      1. You shall send back the goods or hand them over without undue delay and in any event not later than 14 days from the day on which you sent us the statement about cancellation to us. The deadline is met if you send back the goods before the period of 14 days has expired. You will have to bear the direct cost of returning the goods.
      2. The returned goods must be in original and not damaged packaging.

  3. Used/impaired goods
    1. You are only liable for any impairment of the value of the goods caused by other handling than what is necessary to determine the nature, quality and function of the goods.

9 Notification in case of non-conformity of goods

  1. You can complain about errors and defects related to the goods. You must complain within reasonable time after the error or the defect has been or should have been noted.

11 Liability

  1. iQniter is liable for material defects and incorrect deliveries in line with applicable statutory regulations.
  2. iQniter is not liable for any delays or for non-performance due to force majeure. For as long as a force majeure situation persists, iQniter is relieved from performance of its obligations.
  3. iQniter’s liability for any and all claims is limited to an amount equal to the price of the good purchased by you.
  4. iQniter shall not be liable whether in contract, tort or otherwise for any economic losses, including without limitation loss of income, loss of profits, loss of contracts, business or anticipated savings), loss of data, loss of goodwill or reputation or for any special, indirect, consequential or punitive loss or damage of any kind howsoever arising.
  5. iQniter gives you as consumer a minimum 2-year guarantee as a protection against faulty products sold via the website. Please note that in some countries this guarantee can be longer.

12 Personal data

  1. Purchasing of goods from iQniter requires that you accept the iQniter’s privacy policy and iQniter’s processing of personal data as described in iQniter’s privacy policy.
  2. iQniter’s privacy policy is available on the Website.

13 General

  1. No present or future invalidity or ineffectiveness of any one or several provisions of these terms and conditions shall affect the validity and legal effectiveness of the other provisions of these terms and conditions. The invalid or ineffective provisions shall simply not be applied and shall be replaced by those other provisions that most faithfully reflect the original intention of the invalid or ineffective provisions.

14 Governing law and jurisdiction

  1. iQniter’s principal place of business shall be the exclusive venue of jurisdiction for all disputes arising under these terms and conditions.
  2. All purchase orders to, agreements with and deliveries from iQniter shall be governed and construed in accordance with the laws of Denmark under exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).
